Terms of Use

1Acceptance and Eligibility

These Terms of Use (the Terms) govern your access to and use of the website at www.tihindustries.com and its subdomains, including the pages where we publish TIH Insights, the Clarity Quiz, and the pages where you book and pay for a Blueprint Clarity Session (collectively, the Sites). The Sites are owned and operated by TIH Industries LLC, a Texas limited liability company ("TIH," "we," "us," or "our").

By using the Sites, taking the quiz, submitting a form, or booking a session, you agree to these Terms. If you don't agree, don't use the Sites. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

You must be at least eighteen years of age and capable of forming a binding contract. The Sites and the services described on them are business services and aren't directed to consumers acquiring services for personal, family, or household purposes.

2Definitions

Clarity Quiz means the free online diagnostic offered on the Sites.

Blueprint Clarity Session or Blueprint means the paid, recorded, sixty-minute diagnostic session described in Section 5.

Engagement means any paid service TIH performs for you beyond the Blueprint, including an Entry System, a Foundation Build, a Build Out, a Fractional Operations Board Retainer, and advisory work for government and association clients.

Engagement Agreement means the signed proposal, statement of work, service agreement, or other written agreement that governs a specific Engagement.

TIH Materials means the Sites, TIH Insights, the Five Red Flags framework, the Clarity Quiz, the Blueprint deliverables, and every template, framework, method, scorecard, checklist, and work product TIH creates, including the Profit Leak Scorecard, the Brand versus Reality Check, the Fix-It-First Action Plan, and the Compliance-Safe AI Checkup.

Third-Party Platforms means the software and services the Sites depend on or integrate with, including the page and email platform, payment processor, scheduling, video-conferencing, and anti-spam services described in our Privacy Policy.

3The Sites and Permitted Use

Subject to your compliance with these Terms, TIH grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Sites and to read TIH Insights for your own business purposes.

You agree not to: (a) copy, republish, scrape, or redistribute the Sites or TIH Materials except as Section 12 allows; (b) reverse engineer or attempt to derive the structure of the quiz, its scoring, or any automated process on the Sites; (c) use the Sites or TIH Materials to build or market a competing diagnostic, framework, or service; (d) submit false information in a form, the quiz, or an intake; (e) upload malicious code or interfere with the operation, security, or integrity of the Sites or the Third-Party Platforms; or (f) use the Sites in violation of applicable law.

4The Clarity Quiz

The Clarity Quiz is free. It gives you a preliminary view of which of the Five Red Flags is most likely costing you money, based only on the answers you give. It isn't a substitute for the Blueprint, it doesn't diagnose your business, and it doesn't commit TIH to anything. By taking the quiz and submitting your contact details, you agree that TIH may send you your results and follow-up communications as described in Section 8 and in our Privacy Policy.

5The Blueprint Clarity Session

What it is. The Blueprint is a paid, sixty-minute, virtual diagnostic session conducted by video. It's recorded. You receive the Profit Leak Scorecard, the Brand versus Reality Check, the Fix-It-First Action Plan, the Compliance-Safe AI Checkup, and the recording with formatted notes, delivered after the session. The Blueprint is a diagnostic. It isn't a coaching call, it isn't a sales call, and it doesn't include implementation.

Fee. The Blueprint fee is stated on the booking page at the time you book and is paid in full, in advance, at checkout. By paying, you authorize TIH and its payment processor to charge your designated payment method for that amount.

Non-refundable. Blueprint fees are non-refundable once paid. This includes sessions you don't attend.

Intake. You'll be asked to complete a pre-session intake form. The session is built on it. If you don't complete the intake, the session still runs, and its usefulness may be limited.

Rescheduling and no-shows. A missed session is eligible for one reschedule, and only one. To be eligible, you must contact TIH at contact@tihindustries.com within forty-eight hours of the missed appointment. Reschedules must be made at least twenty-four hours before the new appointment time. Same-day reschedule requests aren't honored and are treated as a no-show. A second no-show forfeits the session without refund. TIH may decline future scheduling at its discretion.

Recording and deliverables. The session is recorded so the recording and notes can be delivered to you. You may use the recording and the Blueprint deliverables for your own business. You may not publish, resell, or share them with a competitor of TIH. Deliverables are prepared from what you tell us in the intake and the session; if that information is incomplete or inaccurate, the deliverables will be too.

No obligation to proceed. The Blueprint doesn't obligate you to purchase an Engagement, and it doesn't obligate TIH to offer one. Where TIH offers a proposal after the Blueprint, that proposal is a separate document governed by Section 6.

6Engagements Under Separate Agreements

Every Engagement is governed by its own Engagement Agreement. That agreement controls the scope, deliverables, timeline, fees, payment schedule, and termination terms of that Engagement. Nothing on the Sites is an offer to perform an Engagement, and no Engagement begins until an Engagement Agreement is accepted in writing and the required deposit is paid.

Prices and price ranges published on the Sites describe where an Engagement typically lands. They aren't quotes. A Foundation Build and a Build Out are scoped at the Blueprint and priced in the Engagement Agreement. Entry Systems and TIH Foundation Workspace subscriptions are sold at www.tihworkspace.com under their own terms. Website build and hosting packages are governed by the Website Build and Hosting Terms published at www.tihworkspace.com/websitebuild-hosting-terms. Referral and affiliate programs are governed by the agreement or terms you accept when you join them.

If these Terms conflict with an Engagement Agreement, the Engagement Agreement controls for the Engagement it describes.

7Payments and Taxes

Payments on the Sites are processed by a third-party payment processor. TIH doesn't store full payment card numbers. Fees are stated in United States dollars and are exclusive of applicable sales, use, and similar taxes, which you're responsible for except taxes based on TIH's net income. Where TIH is required to collect a tax, it will be added to your invoice or receipt. If a payment fails or is reversed, TIH may cancel the related booking and may decline further bookings until the amount is settled.

8Communications and Consent

By submitting a form, taking the quiz, or booking a session, you consent to receive email from TIH about what you requested and about TIH's services, and you agree that TIH may send those messages to the email address you provide. You may unsubscribe from marketing email at any time using the link in any marketing message. Transactional messages about a booking or an Engagement continue until the booking or Engagement ends.

If you provide a mobile number and opt in to text messages, you consent to receive texts from TIH as described in our Privacy Policy. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to texts isn't a condition of any purchase.

9No Professional Advice

TIH Industries is a strategic advisory and business infrastructure firm. TIH doesn't provide legal, tax, accounting, insurance, investment, or real estate brokerage advice or services through the Sites, the quiz, the Blueprint, or TIH Insights, and nothing on the Sites or in a session is such advice. Where TIH discusses compliance, insurance concepts, or regulatory requirements, it does so as business context. Confirm anything that affects your legal, tax, insurance, or licensing position with a professional licensed to advise you on it. You remain responsible for decisions you make about your business.

Results described on the Sites, including revenue figures, savings, and timelines, describe what particular clients experienced or what a framework is designed to produce. They aren't a promise of what you'll experience. TIH doesn't guarantee revenue, savings, or any specific outcome.

10Artificial Intelligence

TIH uses artificial intelligence tools to help produce transcripts, notes, drafts, summaries, and content, including parts of TIH Insights and Blueprint deliverables. A person reviews that output as part of our service delivery. AI output can contain errors. You're responsible for reviewing any AI-assisted material about your business before you rely on it, publish it, or send it to a third party. If you're a licensed or regulated professional, you remain solely responsible for compliance with your professional conduct rules when you use anything TIH provides.

11Acceptable Use

You won't use the Sites to submit content that's unlawful, defamatory, infringing, or fraudulent; to harass anyone; to send spam or unsolicited commercial messages; or to attempt to gain unauthorized access to any account, system, or data. You won't submit payment card numbers, government identification numbers, or protected health information through a form, the quiz, or an intake. A violation of this section is a material breach of these Terms, and TIH may remove content, cancel bookings, and refuse further service without notice.

12Intellectual Property

The Sites and the TIH Materials, including the Five Red Flags framework and the names of each red flag, the Clarity Quiz, TIH Insights articles, and all associated trademarks, logos, text, graphics, images, video, and page code, are owned by TIH or its licensors and are protected by United States and international intellectual property laws, including the exclusive rights of a copyright owner under 17 U.S.C. Section 106. Nothing in these Terms transfers any of those rights to you except the limited license expressly granted.

You may share a link to a TIH Insights article and quote a short excerpt with attribution to TIH Industries and a link to the source. You may not republish an article in full, present the Five Red Flags framework or any TIH Material as your own, or use TIH's name, logo, or framework names to market a service without TIH's written permission.

If you send TIH feedback, suggestions, or testimonials, you grant TIH a perpetual, royalty-free license to use them. TIH won't publish a testimonial with your name or business name without your permission.

13Third-Party Platforms and Links

The Sites run on and link to Third-Party Platforms that TIH doesn't own or control, and they link to third-party sites including TIH Foundation Workspace, LinkedIn, Facebook, and Instagram. TIH doesn't warrant that the Sites or any Third-Party Platform will be uninterrupted, error-free, or available at any particular level. An outage, change, or discontinuation of a Third-Party Platform is outside TIH's control and isn't a breach of these Terms. Your use of a third-party site is governed by that site's own terms.

14Disclaimers

The Sites, TIH Insights, the Clarity Quiz, and the Blueprint are provided on an as-is and as-available basis. To the fullest extent permitted by law, TIH disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. TIH doesn't warrant that the Sites will be uninterrupted, secure, or error-free, that any content will be accurate or current, or that any AI-generated output will be accurate.

15Limitation of Liability

To the fullest extent permitted by law, TIH and its officers, members, employees, contractors, and build partners won't be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any lost profits, lost revenue, or lost or corrupted data, arising out of or relating to these Terms, the Sites, the quiz, or the Blueprint, even if advised of the possibility of such damages.

The total aggregate liability of TIH and its officers, members, employees, contractors, and build partners arising out of or relating to these Terms, the Sites, the quiz, or the Blueprint won't exceed the greater of the fees you paid to TIH through the Sites in the twelve months preceding the event giving rise to the claim or one hundred dollars. Liability arising from an Engagement is governed by its Engagement Agreement.

16Indemnification

You'll defend, indemnify, and hold harmless TIH and its officers, members, employees, contractors, and build partners from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) content or information you submit through the Sites; (b) your use of the Sites or TIH Materials in violation of these Terms or applicable law; (c) your business decisions and your advice to your own clients, including advice prepared with the assistance of TIH Materials or AI-assisted output; or (d) your breach of a third party's rights.

17Dispute Resolution and Arbitration

Informal resolution

Before initiating arbitration, the parties will attempt in good faith to resolve any dispute informally for thirty days after written notice of the dispute is sent to the addresses in Section 20.

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Sites, the quiz, or the Blueprint that isn't resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect, including the Expedited Procedures of those rules for any claim that qualifies. The legal seat of the arbitration is Travis County, Texas. Hearings may be conducted by video or telephone, and any in-person hearing will take place in Travis County, Texas, unless the parties agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

Federal Arbitration Act governs. The parties agree that the Sites depend on providers and infrastructure located outside the State of Texas, including hosting located in Ireland and payment and communication providers located in other states, that TIH serves clients outside Texas, and that these Terms evidence a transaction involving interstate and international commerce. The Federal Arbitration Act, 9 U.S.C. Sections 1 through 16, governs the interpretation and enforcement of this Section 17 to the exclusion of the Texas Arbitration Act.

Class action waiver

All claims must be brought in the parties' individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Delegation

The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable.

Exceptions

Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction in Travis County, Texas, to protect its intellectual property or confidential information.

18Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. This Texas choice of law doesn't adopt or incorporate the Texas Arbitration Act for Section 17; the Federal Arbitration Act governs Section 17 to the exclusion of the Texas Arbitration Act. Subject to Section 17, the state and federal courts located in Travis County, Texas have exclusive jurisdiction over any matter not subject to arbitration.

19Changes and General Provisions

Changes to these Terms. TIH may modify these Terms. TIH will post the updated Terms with a new version number and effective date and, for material changes affecting a booked session, will provide notice to the email address you used to book. Your continued use of the Sites after the effective date constitutes acceptance of the updated Terms.

Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, outages of Third-Party Platforms, network failures, labor disputes, or governmental action. If TIH must move a booked session for such a reason, it will offer a new time at no charge.

Assignment. You may not assign these Terms without TIH's prior written consent. TIH may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices. Notices to you may be sent to the email address you provided. Notices to TIH must be sent to the addresses in Section 20.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire agreement and precedence. These Terms and the Privacy Policy constitute the entire agreement between you and TIH regarding the Sites, the quiz, and the Blueprint. An Engagement Agreement controls for the Engagement it describes, then the Website Build and Hosting Terms for a website build and hosting purchase, then the TIH Foundation Workspace Terms of Use for a Workspace subscription, then these Terms, then the Privacy Policy.

Survival. Definitions, Payments and Taxes as to amounts owed, No Professional Advice, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Governing Law, and this section survive termination.

No waiver. A failure to enforce any provision isn't a waiver of the right to enforce it later.
